1Interpretation and Definitions#
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
- Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Codrlabs Solutions.
- Products refers to our digital applications including SpeakshApp and other mobile/web applications developed by the Company.
- Service refers to our digital products, applications, and related services.
- Device means any device that can access our Products such as a smartphone, tablet, or computer.
- User Account means an account created to access our Products and Services.
- Fair Usage Policy refers to our guidelines ensuring reasonable use of our Products and preventing abuse.
- Lifetime Purchase refers to a one-time payment that grants permanent access to the Pro/premium version of a Product.
- Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of our Products and Services.
- You means the individual accessing or using our Products, or the company, or other legal entity on behalf of which such individual is accessing or using our Products.
2Acknowledgment#
These are the Terms and Conditions governing the use of our Products and Services and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of our digital products.
Your access to and use of our Products is conditioned on Your acceptance of and compliance with these Terms and Conditions. By downloading, installing, or using our Products You agree to be bound by these Terms and Conditions.
You represent that you are over the age of 13. Users under 18 must have parental consent to use our Products.
3Fair Usage Policy#
Our Products include Fair Usage Protection to ensure service quality and prevent automated abuse:
- SpeakshApp FREE users: Limited to 30 words per day
- SpeakshApp PRO users: Unlimited access with fair usage monitoring (soft warning at 200 words/day, temporary restrictions at 250 words/day)
- Automatic Reset: All usage limits reset within 24 hours
- Protection Purpose: Prevents automated attacks and ensures service availability for all users
No user will be permanently locked out. Temporary restrictions are designed to protect our infrastructure while maintaining access for legitimate users.
4Subscriptions and Billing#
Some of our Products offer premium subscriptions managed through:
- Google Play Store for Android applications
- Apple App Store for iOS applications
Subscription terms, pricing, and cancellation policies are governed by the respective app store’s terms and conditions. Refunds are handled according to the platform’s refund policy.
5Lifetime Access Policy#
Benefits and Limitations:
We offer a Lifetime Purchase for select Products (currently Maestronom only). It grants permanent Pro access for the entire supported lifetime of the Product..
It includes:
- Permanent access to all current and future free Pro features, updates, and bug fixes
- Free restore on any new device using the same Google Play account
- Non-transferable (tied to your Google Play account)
It doesn’t include:
- Future paid add-ons or premium expansions (for example: new instrument packs, exclusive sound libraries, advanced AI tools, etc.)
- Major new features that require ongoing servers, cloud syncing, real-time online services, or expensive third-party licenses
- Guaranteed support if future Android changes make updates impossible or unaffordable for us
- Continued updates if, for any reason, Codrlabs can no longer maintain the app
- Access if the app is removed from the store for reasons outside our control
Grandfathering promise:
If we ever release a paid successor app, Lifetime buyers will never have to pay full price again. You will receive either free access or a heavily discounted upgrade that preserves the core Pro experience you originally purchased.
6User Content and Data#
- You retain ownership of any content you create or upload in our Products
- We may store your progress data, preferences, and usage patterns to provide and improve our Services
- You can delete your data at any time through the application settings
- We do not claim ownership of your personal learning data or content
7Prohibited Use#
You agree not to:
- Use automated systems or bots to access our Products
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent fair usage limitations or security measures
- Use our Products for any illegal or unauthorized purpose
- Interfere with or disrupt our Services or servers
8Termination#
We may terminate or suspend your access immediately, without prior notice, for violation of these Terms or our Fair Usage Policy. Upon termination, your right to use our Products will cease immediately.
You may terminate your use of our Products at any time by uninstalling the applications and deleting your account.
9Limitation of Liability#
To the maximum extent permitted by applicable law, the Company’s total liability shall be limited to the amount you paid for our Products in the 12 months preceding the claim, or $100 USD if you haven’t made any purchases.
We are not liable for any indirect, incidental, special, or consequential damages arising from your use of our Products.
10“AS IS” and “AS AVAILABLE” Disclaimer#
Our Products are provided “AS IS” and “AS AVAILABLE” without warranty of any kind. We do not guarantee that our Products will be error-free, uninterrupted, or meet your specific requirements.
We make reasonable efforts to maintain service availability but cannot guarantee 100% uptime due to maintenance, updates, or technical issues.
11Governing Law#
These Terms are governed by the laws of Canada. Any disputes will be resolved in accordance with Canadian law.
12Changes to These Terms#
We reserve the right to modify these Terms at any time. We will notify users of material changes through our Products or website at least 30 days before they take effect.
Continued use of our Products after changes constitute acceptance of the new Terms.
